1. Acceptance of Terms

By accessing or using Moigate's services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our services.

These Terms constitute a legally binding agreement between you and Moigate regarding your use of our payment gateway infrastructure and related services.

2. Services Description

Moigate provides payment gateway infrastructure software that enables businesses to route, process, and manage payment transactions across multiple payment service providers.

Our services include but are not limited to: intelligent routing, automatic failover, retry logic, multi-provider integration, fraud detection tools, and usage-based billing.

Moigate is not a payment institution or e-money institution. Payment processing services are provided by licensed third-party payment service providers integrated with our platform.

3. Account Registration

To use Moigate services, you must register for an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials.

You must be at least 18 years old and have the legal capacity to enter into these Terms. If you are registering on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

You agree to notify us immediately of any unauthorized access to or use of your account.

4. Acceptable Use

You agree to use Moigate services only for lawful purposes and in accordance with these Terms. You may not use our services:

  • To process payments for illegal goods or services
  • To engage in fraudulent or deceptive practices
  • To violate any applicable laws or regulations
  • To infringe on intellectual property rights
  • To transmit malicious code or interfere with our systems

5. Fees and Payment

Moigate operates on a usage-based pricing model. You will be charged based on your actual transaction volume and service usage as specified in your pricing plan.

Invoices are generated monthly and payment is due within 15 days of invoice date. Failure to pay may result in service suspension or termination.

All fees are exclusive of applicable taxes, which will be added to your invoice as required by law. For details on refunds, please refer to our Refund Policy.

6. Termination

Either party may terminate this agreement with 30 days written notice. Moigate may terminate or suspend your access immediately if you breach these Terms.

Upon termination, you remain responsible for all fees incurred prior to termination. You must cease using our services and delete any API credentials.

Provisions regarding liability, indemnification, and dispute resolution survive termination.

7. Limitation of Liability

To the maximum extent permitted by law, Moigate shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services.

Our total liability shall not exceed the fees paid by you to Moigate in the 12 months preceding the claim.

We provide our services "as is" without warranties of any kind, either express or implied.

8. Changes to Terms

We may modify these Terms at any time by posting the revised Terms on our website. Your continued use of our services after such changes constitutes acceptance of the new Terms.

Material changes will be notified via email at least 30 days before they take effect.
